Domain Name Terms and Conditions

1. Introduction

1.1 These Domain Name Terms and Conditions (“Domain Terms“) supplement our General Website Terms and Conditions and govern domain name registration, management, and related services provided by Ayup Creative Ltd (“we“, “us“, “our” or “the Company“) to business customers (“you” or “Client“).

1.2 These Domain Terms should be read alongside our General Website Terms and Conditions. In case of conflict, these Domain Terms shall prevail for domain name services.

1.3 Our domain name services are provided exclusively to businesses and not to consumers. By ordering domain services, you confirm you are acting in the course of a business.

2. Definitions

In addition to definitions in our General Terms, the following apply:

  • Domain Name” means the internet domain name registered for your use
  • Registry” means the organisation responsible for maintaining the database of domain names for specific top-level domains (e.g., Nominet for .uk domains)
  • Registrar” means the authorised organisation through which we register domain names
  • Registration Period” means the period for which a domain name is registered
  • Renewal” means extending the registration period of a domain name
  • Transfer” means moving a domain name from one registrar to another

3. Domain Registration

3.1 We act as your agent for domain name registration through authorised Registrars.

3.2 Domain name registration is subject to:

  • Availability of the requested domain name
  • Compliance with Registry policies and terms
  • Payment of applicable registration fees
  • Acceptance by the relevant Registry

3.3 We cannot guarantee successful registration of any requested domain name.

3.4 You authorise us to submit registration applications on your behalf and to act as your administrative contact.

4. Eligibility and Restrictions

4.1 You warrant that you are eligible to register and use the requested Domain Name.

4.2 You must comply with all Registry rules and policies for the relevant top-level domain.

4.3 For .uk domains, you must comply with Nominet UK terms and conditions.

4.4 You represent that the domain name registration and use will not infringe third-party rights.

4.5 Certain domain extensions have specific eligibility requirements which you must satisfy.

5. Domain Name Information

5.1 You must provide accurate, current, and complete contact information for domain registration.

5.2 You are responsible for keeping domain contact information up-to-date.

5.3 We will update Registry records based on information you provide.

5.4 Inaccurate or outdated information may result in domain suspension or cancellation.

5.5 Contact information may be published in public WHOIS databases as required by Registry policies.

6. Payment Terms

6.1 Domain registration fees are due in advance for the full Registration Period.

6.2 Registration periods typically range from 1-10 years depending on the domain extension.

6.3 We will send renewal invoices at least 30 days before domain expiration.

6.4 All prices exclude VAT, which will be added at the prevailing rate.

6.5 We reserve the right to increase domain fees on 30 days’ written notice.

7. Domain Renewal and Expiration

7.1 Domain names must be renewed before expiration to maintain registration.

7.2 It is your responsibility to ensure timely renewal payment.

7.3 If a domain expires due to non-payment:

  • The domain may cease to function (website, email may stop working)
  • The domain may enter a redemption period with additional fees
  • The domain may become available for others to register

7.4 We may offer auto-renewal services but you remain responsible for ensuring payment methods are valid.

7.5 Expired domain recovery may incur additional Registry fees.

8. Domain Transfers

8.1 You may transfer domain names to another Registrar at any time, subject to:

  • Payment of any outstanding fees
  • Compliance with Registry transfer policies
  • Provision of required authorisation codes

8.2 Incoming transfers are subject to our approval and standard registration terms.

8.3 We may charge administrative fees for domain transfers.

8.4 Domains recently registered or transferred may be subject to Registry transfer locks.

9. DNS Management

9.1 We may provide DNS management services for your Domain Names.

9.2 You are responsible for ensuring DNS records are correctly configured.

9.3 DNS changes may take up to 48 hours to propagate globally.

9.4 We are not liable for service interruptions caused by DNS propagation delays.

10. Domain Disputes and Policies

10.1 You acknowledge that domain disputes may be subject to:

  • Registry dispute resolution policies (e.g., Nominet DRS for .uk domains)
  • ICANN Uniform Domain-Name Dispute-Resolution Policy (UDRP)
  • Legal proceedings in courts of competent jurisdiction

10.2 You agree to participate in dispute resolution proceedings if required.

10.3 We may be required to suspend, cancel, or transfer domains following dispute resolution decisions.

10.4 We are not liable for costs or losses arising from domain disputes.

11. Prohibited Uses

11.1 You must not use Domain Names for:

  • Illegal activities or purposes
  • Infringement of intellectual property rights
  • Spamming or malicious activities
  • Content that violates UK law or Registry policies
  • Impersonation or fraudulent activities

11.2 We may suspend or cancel domains used for prohibited purposes.

12. Registry Terms and Conditions

12.1 Domain registration creates separate contractual relationships with Registries.

12.2 You must comply with all applicable Registry terms, including:

  • Nominet terms for .uk domains
  • ICANN policies for generic top-level domains
  • Country-specific terms for ccTLD domains

12.3 Registry policies may change and you are responsible for ongoing compliance.

13. Suspension and Cancellation

13.1 We may suspend or cancel domain services if:

  • Payment is overdue
  • Registry policies are violated
  • Prohibited uses are identified
  • Required by law or Registry mandate
  • Dispute resolution decisions require action

13.2 Domain suspension may cause website and email services to stop functioning.

13.3 We will provide reasonable notice before suspension except where immediate action is required.

14. Domain Parking and Forwarding

14.1 We may offer domain parking or forwarding services.

14.2 Parked domains may display advertising content from which we may earn revenue.

14.3 Domain forwarding settings are your responsibility to configure correctly.

15. Privacy and WHOIS Protection

15.1 We may offer privacy protection services to hide personal information from public WHOIS databases.

15.2 Privacy protection may not be available for all domain types.

15.3 Privacy protection may be removed if required by Registry policies or legal requirements.

16. Liability and Disclaimers

16.1 Our total liability for domain name services shall not exceed the annual registration fee for the affected domain.

16.2 We exclude liability for:

  • Domain registration failures due to Registry refusal
  • Losses caused by domain expiration due to your non-payment
  • Consequences of domain disputes or cancellation
  • Technical issues beyond our reasonable control

16.3 We provide domain services “as is” without warranties regarding:

  • Continued availability of domain names
  • Compatibility with your intended use
  • Freedom from third-party claims

17. Data Protection

17.1 Domain registration requires processing personal data in accordance with:

  • UK Data Protection Act 2018 and UK GDPR
  • Registry privacy policies
  • ICANN data processing requirements

17.2 Contact information may be published in WHOIS databases as required by Registry policies.

18. Force Majeure

18.1 We are not liable for domain service interruptions caused by circumstances beyond our control, including Registry failures, DNS infrastructure issues, or internet connectivity problems.

19. Governing Law and Disputes

19.1 These Domain Terms are governed by English law.

19.2 Domain disputes may be subject to:

  • Registry-specific dispute resolution procedures
  • Courts of England and Wales for matters within their jurisdiction
  • International arbitration where applicable

20. Third Party Registrars

20.1 We work with various authorised Registrars to provide domain registration services.

20.2 Third-party Registrar terms and conditions may also apply.

20.3 We remain responsible to you for domain registration services regardless of which Registrar is used.

21. Changes to Domain Services

21.1 We may modify domain service offerings with reasonable notice.

21.2 Registry policy changes may affect available services or pricing.

21.3 We will inform you of significant changes that may affect your domains.
